Google has completed business negotiations that will see it acquire Motorola Mobility.
The deal is worth $12.5 billion (?7.67 billion) and it has been approved by the board of directors for the latter company - which will continue to be run as a separate business.
Larry Page, chief executive officer at Google, said: "Motorola Mobility's total commitment to Android has created a natural fit for our two companies."
He noted the two parties will "create amazing user experiences that supercharge the entire Android ecosystem for the benefit of consumers".
Once the regulatory approval from the bodies has come through, the agreement will be made official.
Chief executive officer of Motorola Mobility Sanjay Jha observed the transaction provides a range of opportunities for both employees and customers.
According to the Google blog, some 150 million Android devices have been purchased worldwide in 123 different countries, since its launch in 2007.
